Actually if your MOBO are working fine as of now no need to update the BIOS version. Updating BIOS version may affect some parts of MOBO so no need to update the BIOS version.

What fans are always spinning is it the CPU fan, don't worry if that fan are always running it is good for the CPU to prevent overheating. Remember that if the fan is not running CPU become too hot it cause overheat. Some of the CPU fan are clogged by dust and it is not working The CPU are overheat. We thankful that the fan are running.

My (limited) understanding is that unless you are running cool 'n quiet, your fans will run constantly - mine do and are fine...
If you have cool 'n quiet compatible kit, then I would get the latest software, bios and patches from the Asus site:

Once you are there search around for the deluxe version.
Your bios is old but all the newer ones mainly have fixes to recgonize newer cpus. Your problem is more like;y a bios setting. Try this procedure (from the Asus A8V FAQ)
Please kindly follow the instructions below to enable AMD Cool'n'Quiet Technology:
1. Enter CMOS setup screen, and set "Advanced-->CPU Configuration-->AMD Cool'n'Quiet Technology" to [Enabled].
2. Windows XP users, please install the driver from the link below:
http://dlsvr04.asus.com/pub/ASUS/mb/socketAM2/M2N8-VMX/AMD.zip
Driver installation is not required for VISTA users.
3. Set "Power Scheme" to "Max Battery" or "Minimal Power Management".
